Terms & Conditions
The terms that govern your use of this website and the basis on which Edge RCM provides its services.
1. Acceptance of these terms
These Terms & Conditions ("Terms") govern your access to and use of the website at edgercm.com and any enquiry you make through it. By using this website you agree to these Terms. If you do not agree, please do not use the site.
Where Edge RCM provides services to you under a separate signed agreement: a service agreement, statement of work, order form or business associate agreement, that agreement governs the services, and these Terms apply only to your use of the website to the extent they do not conflict with it.
2. Our services
Edge RCM provides administrative and technical support services to healthcare organizations, including medical billing and revenue cycle management, provider credentialing and payer enrollment, state medical licensing support, and healthcare IT services such as website development, patient portals, mobile applications, CRM, AI tools and digital marketing.
Information on this website describes our services in general terms. It is not an offer, a quotation or a contract. The scope, deliverables, timelines and fees applicable to your engagement are set out in the written agreement we sign with you.
3. No medical, legal or tax advice
We are not a medical practice, a law firm or an accounting firm, and we do not practice medicine, law or public accounting. Nothing on this website or provided in the course of our services constitutes medical, legal, regulatory, tax or accounting advice.
Coding, billing, credentialing, licensing and compliance decisions ultimately rest with you and your licensed advisors. We provide administrative support and our professional opinion based on experience; where a matter involves legal risk, board discipline, an investigation or a payer audit, you should engage qualified counsel, and we will say so plainly when we believe that is the case.
4. No guarantee of outcomes
Statistics, benchmarks, timelines and performance figures shown on this website reflect operating targets and typical results across the practices we support. They are not promises or guarantees of the results your organization will achieve.
Specifically, and without limitation:
- Collections and revenue outcomes depend on your payer mix, contracted rates, documentation quality, patient volume and factors outside our control.
- Credentialing, enrollment and licensing decisions and timelines are determined solely by payers, hospitals, state boards and government agencies. We do not control them and cannot guarantee approval or a specific date.
- Search engine rankings, advertising performance and patient acquisition results depend on competition, market conditions and third-party platform algorithms and policies that change without notice.
5. Client responsibilities
To deliver services effectively we rely on you to:
- provide accurate, complete and current information, documents and credentials;
- respond to requests for information, signatures and approvals within a reasonable time;
- maintain your own licenses, insurance, registrations and clinical documentation;
- grant and maintain the system access we need, and revoke it promptly when an engagement ends;
- maintain your own policies, procedures and workforce training relating to compliance; and
- pay invoices in accordance with your agreement.
Delays caused by incomplete information or slow responses are not our responsibility, and timelines are extended accordingly.
6. Fees, invoicing and payment
Fees are set out in your signed agreement. Billing and revenue cycle services are typically charged as a percentage of collections; credentialing and licensing are typically charged per provider per application; healthcare IT projects are typically charged as a fixed project fee with an optional monthly care plan. Government, board, payer and third-party fees, such as licensing application fees, DEA fees, verification service fees, hosting and advertising spend, are passed through at cost unless your agreement states otherwise.
Invoices are due on the terms stated in your agreement. We may suspend services on written notice where an account remains materially overdue.
7. Term, suspension and termination
Engagement terms, notice periods and any initial ramp period are set out in your agreement. Following any initial period, our standard engagements run month to month and either party may terminate on written notice as specified in that agreement.
On termination we will, at your direction and in accordance with the applicable business associate agreement, return or securely destroy your data, hand over administrative access to systems and assets you own, and provide a reasonable handover of open work in progress. Fees earned and expenses incurred up to the termination date remain payable.
8. Confidentiality and HIPAA
Each party will keep the other's confidential information confidential and use it only to perform the engagement. Where we access protected health information we act as a business associate under HIPAA, subject to a signed business associate agreement executed before any protected health information is exchanged. Our handling of information is described in our Privacy Policy.
Please do not submit protected health information through this website's contact form or by unsecured email. Secure channels are established at the start of an engagement.
9. Intellectual property
All content on this website, including text, design, graphics, illustrations, code, logos and the Edge RCM name, is owned by Edge RCM or its licensors and is protected by United States and international intellectual property laws. You may view and print pages for your own internal business use. You may not copy, republish, resell or create derivative works from this content without our written permission.
For client work: upon full payment, you own the deliverables we create specifically for you, including website designs, content produced for you and custom code, together with your domain, hosting account and data. We retain ownership of our pre-existing tools, frameworks, templates, processes and know-how, and we grant you a perpetual, non-exclusive license to use those elements as embedded in your deliverables.
10. Acceptable use of this website
You agree not to:
- use this website for any unlawful purpose or in violation of these Terms;
- submit false, misleading, abusive or unsolicited commercial content through our forms;
- attempt to gain unauthorized access to any part of the site, its server or connected systems;
- introduce malware, attempt to disrupt availability, or probe or scan for vulnerabilities without written authorization;
- scrape, harvest or systematically extract content or contact details from the site; or
- misrepresent your identity or your affiliation with any person or organization.
We may block access and take further action where we reasonably believe these Terms have been breached.
11. Third party services
Our services frequently interact with third-party platforms: clearinghouses, EHR and practice management systems, payer portals, hosting providers, advertising networks and app stores. Those platforms are governed by their own terms and their availability, pricing, policies and performance are outside our control. We are not responsible for outages, policy changes, account suspensions or data losses caused by a third-party platform, although we will support you in resolving them.
12. Disclaimer of warranties
This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Edge RCM disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the site will be uninterrupted, error free or free of harmful components.
Services are performed with reasonable skill and care by suitably experienced personnel. Any warranties relating to services are those set out in your signed agreement.
13. Limitation of liability
To the fullest extent permitted by law, Edge RCM will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill or business interruption, arising out of or relating to this website or our services, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to an engagement will not exceed the total fees paid by you to Edge RCM for the services giving rise to the claim during the three months immediately preceding the event that gave rise to it, unless your signed agreement states a different limit.
Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Edge RCM and its officers, employees and contractors from claims, damages, liabilities, costs and reasonable attorneys' fees arising out of: information or documentation you provide that is inaccurate or incomplete; clinical documentation, coding decisions or services you render; your breach of these Terms or your agreement with us; or your violation of applicable law or third-party rights.
15. Governing law and disputes
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. The parties will first attempt in good faith to resolve any dispute through direct negotiation between senior representatives. Any dispute not resolved that way will be subject to the exclusive jurisdiction of the state and federal courts located in Washington County, Maryland, unless your signed agreement provides for arbitration or another forum.
16. Changes to these terms
We may update these Terms from time to time. The "last updated" date above always reflects the current version, and changes take effect when posted. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms. Changes to these Terms do not amend a signed service agreement, which can only be varied in writing by both parties.
17. SMS Terms & Conditions
Edge RCM operates an SMS/text messaging program to communicate with clients and prospective clients about our services. This section describes the terms of that program in addition to the Terms above.
By providing your mobile phone number and opting in, for example by submitting our website consultation or contact form, enrolling as a client, or giving verbal consent during a call with our team, you agree to receive text messages from Edge RCM, which may include:
- Customer care and support messages;
- Account notifications;
- Appointment or meeting reminders;
- Service updates; and
- Marketing and promotional messages, sent only where you have separately agreed to receive them.
Consent to receive text messages is never required as a condition of purchasing any services from us. Message frequency varies depending on your interactions with us and the services you have requested. Message and data rates may apply, and standard rates from your wireless carrier will apply to any messages you receive.
You can opt out of text messages at any time by replying STOP to any message you receive from us. After you reply STOP, we will send a one-time confirmation that you have been unsubscribed, and you will receive no further messages unless you opt in again. For help, reply HELP to any message, or contact us directly at +1 (866) 308-8907 or info@edgercm.com.
Not all mobile devices or carriers may be supported, and we are not responsible for delayed or undelivered messages caused by your wireless carrier or device.
Mobile opt-in information and SMS consent collected through this program are not shared with third parties or affiliates for marketing or promotional purposes. Our collection, use and protection of your information is further described in our Privacy Policy.
